1. Introduction & Acceptance

Welcome to PartsBay.ae ("Platform"), operated by E.A.S.P FZE, a company registered in UAQ Free Trade Zone, Umm Al Quwain, United Arab Emirates (Trade License No. 8065/2) ("Company", "we", "us", or "our").

By accessing or using the Platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use the Platform.

These Terms constitute a legally binding agreement between you and E.A.S.P FZE. Please read them carefully before using our services.

2. Platform Description

PartsBay.ae is an online platform that facilitates listings, discovery, negotiations, offers, orders, and related transaction workflows between users for auto parts. The Platform serves both private individuals and businesses.

Important — Platform Role and Limitations:

The Platform may facilitate listings, negotiations, offers, order creation, order status updates, and communication between users. However, E.A.S.P FZE is not a seller, buyer, reseller, broker of title, payment processor, escrow provider, carrier, insurer, or warehouse operator. The Platform is not a party to the underlying sale, purchase, or delivery arrangement between users. Facilitating orders, status updates, listings, offers, or communications does not make the Platform a party, co-party, representative, or agent in the underlying transaction between users.

The Platform does NOT:

•- Process payments or act as a payment or escrow intermediary
•- Arrange, coordinate, perform, or guarantee delivery, shipping, or logistics
•- Hold inventory, stock, or take possession of any products
•- Provide warranties or guarantees on any listed products
•- Act as a party, co-party, or agent to any transaction between users
•- Verify the identity, trade license status, or credentials of any user
•- Inspect, test, authenticate, or certify any listed product

All negotiations, inspections, checks, payment arrangements, delivery arrangements, returns, warranties, and disputes are conducted solely and directly between the relevant users.

Orders:

The "order" functionality on the Platform records and facilitates the users' transaction arrangement and related workflow. Creation or acceptance of an order through the Platform does not make the Platform responsible for payment, product quality, authenticity, legality, ownership, compatibility, fulfillment, delivery, or dispute outcome. Sellers may cancel orders in accordance with Platform rules or their own circumstances.

Logistics and Shipment Status:

The Platform may display shipment or logistics status information received from carriers, sellers, partners, or administrators for informational convenience only, and does not itself transport, store, insure, or guarantee the delivery of goods.

Where a listing displays a delivery type or delivery-related information, this is informational only. It reflects information provided by the seller and does not mean that the Platform arranges, coordinates, participates in, or guarantees delivery in any way.

Fees:

The Platform is currently provided free of charge. No fees are charged to users for listing or browsing. E.A.S.P FZE reserves the right to introduce fees in the future with prior notice.

Availability:

The Platform does not guarantee uninterrupted availability, listing visibility, search placement, user responses, or transaction outcomes. The Platform may be unavailable from time to time due to maintenance, updates, or circumstances beyond our reasonable control.

3. User Accounts & Responsibilities

To use certain features of the Platform, you must create an account and provide accurate, complete, and current information. You are responsible for:

•- Maintaining the confidentiality of your account credentials
•- All activities that occur under your account
•- Notifying us immediately of any unauthorized access to your account
•- Ensuring that your account information is accurate and up to date

You must be at least 18 years of age or the age of legal majority in your jurisdiction to create an account and use the Platform.

Each user may maintain only one account. Creating multiple accounts may result in termination of all associated accounts.

4. Seller Obligations

If you list products on the Platform as a seller, you represent and warrant that:

•- All listings are accurate, truthful, complete, and not misleading
•- All photographs are genuine images of the actual products being offered
•- The condition of each item (new, used, refurbished) is clearly and accurately stated
•- Pricing is stated honestly and does not constitute deceptive or misleading conduct
•- You are the lawful owner of, or are lawfully authorized to sell, the listed products
•- Your listings do not infringe any third-party intellectual property rights or other rights
•- You hold all trade licenses, business permits, and authorizations required by applicable UAE law
•- You comply with all applicable UAE federal and local laws, including consumer protection, trade, and customs requirements
•- You do not list counterfeit, stolen, prohibited, or restricted goods

The Platform facilitates listings, offers, orders, and communication but is not a party to any agreement between you and any buyer. Any commitments, representations, or agreements you make with buyers are solely your responsibility.

E.A.S.P FZE reserves the right to remove any listing at its sole discretion.

5. Buyer Responsibilities

If you use the Platform to find auto parts, you acknowledge and agree that:

•- You are solely responsible for conducting your own due diligence on sellers and products before entering into any transaction
•- All transactions are directly between you and the seller — the Platform is not a party to any sale or agreement
•- It is your sole responsibility to verify the identity, trade license status, ownership, condition, authenticity, compatibility, legality, and quality of any product and any seller before purchase
•- You should agree on payment terms and payment method directly with the seller before completing a transaction
•- You should agree on collection, shipping, and handover terms directly with the seller
•- You are responsible for assessing fraud and transaction risks
•- The Platform does not guarantee the accuracy, completeness, or reliability of any listing information provided by sellers
•- Any disputes arising from transactions must be resolved directly between you and the seller

Search results, filters, categories, and any sorting or ranking on the Platform are provided for convenience only and do not constitute any endorsement, recommendation, or verification by the Platform.

6. No Verification / No Endorsement

Except for limited internal operational or moderation checks that may be applied in certain cases, the Platform does not verify, and makes no representations or warranties regarding:

•- The identity, background, or credentials of any user
•- The validity or currency of any trade license, business permit, or authorization
•- The ownership, title, or right to sell any listed product
•- The authenticity, originality, or genuineness of any listed product
•- The legality of any product or transaction
•- The compatibility, quality, safety, or fitness for purpose of any product
•- The accuracy or completeness of any listing content, description, photograph, or claim

The listing of any product on the Platform does not constitute an endorsement, recommendation, certification, or verification by E.A.S.P FZE or the Platform.

The Platform may apply internal seller statuses for moderation, operational review, or publishing workflow. Such statuses do not guarantee identity, legality, ownership, authenticity, quality, delivery performance, or transaction safety.

Users interact with other users and make purchasing decisions entirely at their own risk. E.A.S.P FZE strongly recommends that users exercise caution, conduct independent verification, and seek professional advice where appropriate before entering into any transaction.

7. Dispute Assistance

The Platform may, at its discretion, assist with communications, moderation, support, fraud review, or dispute handling between users. However:

•- The Platform is not obliged to investigate, mediate, adjudicate, enforce, or resolve every dispute between users
•- Any assistance provided by the Platform is offered on a voluntary and discretionary basis and does not create any obligation, liability, or precedent
•- Users remain primarily responsible for verifying counterparties, assessing risks, and deciding whether to proceed with a transaction

The Platform's involvement in any dispute does not make it a party to the underlying transaction or agreement between users.

8. Off-Platform Communication Risk

The Platform provides on-site messaging functionality for communication between users. Users may also choose to communicate via telephone, Telegram, WhatsApp, or other channels outside the Platform.

Once communication moves to channels outside the Platform, E.A.S.P FZE has no visibility into, control over, or responsibility for the content, conduct, or consequences of such communications.

E.A.S.P FZE is not liable for any impersonation, fraud, misrepresentation, data misuse, loss of evidence, financial loss, or any other harm arising from or in connection with off-platform communications between users, regardless of how the initial contact was established.

Users who choose to communicate off-platform do so entirely at their own risk.

9. Content Moderation & Takedown

E.A.S.P FZE reserves the right, but assumes no obligation, to review, monitor, edit, disable, or remove any listing, content, message, or account on the Platform at its sole discretion, with or without prior notice to the affected user.

Grounds for action may include, but are not limited to:

•- Suspected fraud or misrepresentation
•- Suspected counterfeit, stolen, or illegally obtained goods
•- Intellectual property complaints or takedown requests
•- Violation of these Terms or applicable law
•- Content that may expose E.A.S.P FZE to legal risk or liability
•- Any other reason deemed appropriate by E.A.S.P FZE in its sole discretion

E.A.S.P FZE does not undertake to monitor all content on the Platform and does not guarantee that it will detect or act upon any particular violation. The absence of action by E.A.S.P FZE with respect to any content or conduct does not constitute approval or endorsement thereof.

10. Prohibited Content & Conduct

You agree not to use the Platform to:

•- List or sell counterfeit, stolen, or illegally obtained goods
•- Post false, misleading, or deceptive content
•- Engage in fraud, scams, or other dishonest practices
•- Harass, threaten, or abuse other users
•- Collect personal information of other users without their consent
•- Distribute malware, viruses, or other harmful software
•- Circumvent or attempt to circumvent any security features of the Platform
•- Use automated tools (bots, scrapers) to access the Platform without authorization
•- Violate any applicable local, national, or international laws or regulations
•- List products unrelated to auto parts or the automotive industry
•- Post duplicate or spam listings
•- Manipulate search results or rankings

11. Intellectual Property

The Platform, including its design, logos, text, graphics, software, and all other content created by E.A.S.P FZE, is protected by intellectual property laws and remains the exclusive property of E.A.S.P FZE.

Users retain ownership of content they upload to the Platform (such as product images and descriptions). By uploading content, you grant E.A.S.P FZE a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with the operation of the Platform.

You may not copy, reproduce, distribute, or create derivative works from any Platform content without prior written consent from E.A.S.P FZE.

12. Limitation of Liability

To the maximum extent permitted by applicable law:

•- E.A.S.P FZE operates a platform facilitating listings, offers, orders, messaging, and related services, and is not liable for any transactions, arrangements, or disputes between users
•- E.A.S.P FZE is not liable for the conduct of any user, whether online or offline, on the Platform or outside of it
•- E.A.S.P FZE is not responsible for the quality, safety, legality, accuracy, or fitness of any listed products or any goods acquired through contacts made on the Platform
•- E.A.S.P FZE is not liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform or any interactions, transactions, or communications with other users
•- E.A.S.P FZE is not liable for any loss or damage resulting from unauthorized access to your account, whether or not you have notified us
•- E.A.S.P FZE is not responsible for any interruptions, delays, errors, or unavailability of the Platform

The Platform is currently provided free of charge. To the maximum extent permitted by applicable law, the total aggregate liability of E.A.S.P FZE to you for any and all claims arising from or related to these Terms or your use of the Platform shall not exceed the total amount of fees, if any, actually paid by you to E.A.S.P FZE in the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms shall exclude or limit liability that cannot be lawfully excluded or limited under applicable UAE law.

13. Disclaimer of Warranties

The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.

E.A.S.P FZE specifically disclaims all warranties, including but not limited to:

•- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
•- Any warranty that the Platform will be uninterrupted, error-free, secure, or available at any particular time
•- Any warranty regarding the accuracy, reliability, or completeness of any content on the Platform
•- Any warranty regarding the products listed by sellers on the Platform
•- Any warranty regarding the outcome of any offer, order, or transaction initiated through the Platform

14. Indemnification

You agree to indemnify, defend, and hold harmless E.A.S.P FZE, its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

•- Your use of or access to the Platform
•- Your violation of these Terms
•- Your violation of any rights of a third party
•- Any content you upload, post, or transmit through the Platform
•- Any transaction or interaction you enter into with another user of the Platform
•- Any off-platform communication or activity arising from contacts made through the Platform

15. Termination

E.A.S.P FZE reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice, including but not limited to cases where:

•- You violate these Terms
•- Your conduct is harmful to other users, third parties, or the business interests of E.A.S.P FZE
•- Required by law or a regulatory authority

Upon termination or account deletion, your right to use the Platform will immediately cease. Active listings associated with a terminated or deleted account may be deactivated or removed.

Certain data may be retained after termination or account deletion as described in our Privacy Policy, including for legal compliance, fraud prevention, dispute resolution, and backup integrity purposes.

Provisions of these Terms that by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive termination.

16. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates.

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach, termination, or invalidity thereof, shall be submitted to the exclusive jurisdiction of the Dubai International Financial Centre (DIFC) Courts.

Before initiating any formal proceedings, the parties agree to attempt to resolve any dispute through good faith negotiation for a period of thirty (30) days following written notice of the dispute.

17. Amendments

E.A.S.P FZE reserves the right to modify or update these Terms at any time. Changes will be effective upon posting the updated Terms on the Platform with a revised "Last Updated" date.

Your continued use of the Platform after any changes to the Terms constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

For material changes, we will make reasonable efforts to notify users via email or through the Platform.
